Terms & Conditions

 

By booking into a workout with us at PLATFRM,  you are automatically agreeing to the following Terms & Conditions: 

1. Introduction

Any Membership, or other goods or services provided by PLATFRM, are subject to these Terms and Conditions, and you acknowledge and agree that: 

1.1. you have been given a copy of these Terms and Conditions, and read and understood these Terms and Conditions, and agree to comply with these Terms and Conditions; 

1.2. no terms and conditions contained in or deemed to be incorporated by any document of yours will apply to, override or amend in any way, these Terms and Conditions; and

1.3. PLATFRM may amend these Terms and Conditions by giving notice in writing to you. Your continued use of PLATFRM’s goods and/or services, or continuation of your Membership, will be deemed to be acceptance of any such amendment. 

2. Memberships

2.1. You must be a current Member in order to book and attend any Class or otherwise receive any goods and services provided by PLATFRM. 

2. 2 Your Membership is subject to your compliance with these Terms and Conditions.

3. Periodic Memberships

3.1 A Periodic Member may book and attend up to the relevant number of Classes per week over an 8-week period, depending on the type of Periodic Subscription selected:

  • Unlimited Classes per week: $78 per week or $156 per fortnight (inclusive of GST). Minimum 8-week commitment period, total minimum cost $624 (inclusive of GST).

  • 4 Classes per week: $68 per week or $136 per fortnight (inclusive of GST). Minimum 8-week commitment period, total minimum cost $544 (inclusive of GST). (32 classes allocated upfront to use across each 8-week period.)

  • 3 Classes per week: $58 per week or $116 per fortnight (inclusive of GST). Minimum 8-week commitment period, total minimum cost $464 (inclusive of GST). (24 classes allocated upfront to use across each 8-week period.)

  • 2 Classes per week: $48 per week or $96 per fortnight (inclusive of GST). Minimum 8-week commitment period, total minimum cost $384 (inclusive of GST). (16 classes allocated upfront to use across each 8-week period.)

3.2 All Periodic Memberships are subject to an initial minimum 8-week commitment period. Cancellations or suspensions are not permitted during this initial term under any circumstances. Upgrades are permitted during this initial term. Following the minimum 8-week period, cancellations, upgrades, downgrades or suspensions are permitted. Periodic Memberships requesting to be placed on suspension for a full consecutive month or more will be subject to cancellation.

3.3 Periodic Membership Fees must be paid via Direct Debit on a weekly or fortnightly basis, as agreed in the Direct Debit Agreement.

3.4 You must read, agree to, and sign the Direct Debit Agreement at the time of purchasing a Periodic Membership.

3.5 Unless cancelled in accordance with these Terms and Conditions, your Periodic Membership will automatically renew at the end of each 8-week period for a further 8 weeks of the same membership type. You will continue to be Direct Debited the applicable Fees from the start of the next term.

3.6 To cancel a Periodic Membership, you must contact PLATFRM directly and provide a minimum of 2 weeks’ written notice prior to the end of your Periodic Membership. Verbal cancellations or cancellations via third parties will not be accepted.

3.7 Your Periodic Membership will only cease once PLATFRM confirms receipt of your written cancellation notice in accordance with clause 3.6. Until then, you will remain liable for ongoing payments.

3.8 Membership Fees are non-refundable. No refunds or credits will be issued for unused Classes, early termination, or missed sessions.

3.9 All Classes allocated in a Periodic Membership are valid only within the relevant 8-week period. Any unused Classes will expire at the end of the period and cannot be carried forward or credited.

3.10 Please ensure sufficient funds are available in your nominated account for scheduled payments. Failed payments may incur additional fees from third-party payment providers.

3.11 PLATFRM reserves the right to vary pricing at any time. Any changes will be communicated to you in writing in advance.

4. Class Packs

4.1 A Class Pack Member may book and attend up to the relevant number of Classes in the period, as set out below, depending on the category of Class Pack:

Unlimited Classes + Multi Location Access: $299 (inclusive of GST)
Valid for 30 days from first booked class. Allows access to classes across all PLATFRM locations.

50 Classes: $1,000 (inclusive of GST)
Valid for 365 days from purchase

20 Classes: $500 (inclusive of GST)
Valid for 365 days from purchase

10 Classes: $275 (inclusive of GST)
Valid for 365 days from purchase

5 Classes: $140 (inclusive of GST)
Valid for 365 days from purchase

1 Class: $30 (inclusive of GST)
Valid for 30 days from purchase

Class Pack Top Up – 1 Class: $15 plus GST
(Available for clients on periodic memberships only. Valid until 7 days after payment)

New Client Package – 6 Classes For $60: $60 plus GST
(Available for new clients only. Valid for 2 weeks from first booked class)

4.2 Fees in relation to Class Packs must be paid in full upfront. 

4.3 Gift cards in relation to Class Packs are available to purchase.

4.4 Without limiting clause 4.5, the Fees for Class Packs are non-refundable.

4.5 Classes purchased in a Class Pack are valid for the period specified in the table in clause 4.1, and any unused Classes after the end of such period will expire and cannot be redeemed for credit. 

4.6 Your Class Pack Membership will expire once you have used all the Classes in the relevant Class Pack, or after the end of the validity period specified in the table in clause 4.1, whichever is sooner. 

4.7 Please ensure adequate funds are available when purchasing, otherwise additional Fees may be charged by third-party providers.

5. Booking and Payment

5.1 Bookings for a Class must be made via the PLATFRM App or PLATFRM Website.

5.2 Bookings for a Class are subject to availability, which is at the discretion of PLATFRM. 

5.3 To book into a Class you must either be a Member and have pre-paid your Fees, or you must pay your Fees at the time of booking to become a Member. 

5.4 Payment of your Fees must be made in accordance with the payment terms in clause 3 in relation to the purchase of Periodic Subscriptions, or clause 4 in relation to the purchase of Class Packs. 

5.5 Please be aware booking availability for Classes is on a first come first serve basis. To avoid disappointment, Classes can be booked up to 50 days in advance. 

5.6 If you are unable to make your Class that you have booked, please ensure that you cancel to allow another person the opportunity to book that Class. 

5.7 If your Class is cancelled due to an unforeseen circumstance you will be contacted as soon as reasonably practicable via text, phone or email (as applicable, provided that you have provided us your contact details). 

6. Waitlist

6.1 If a selected Class at a PLATFRM Location is fully booked, if you are a Member you may elect to join the waitlist for that Class. 

6.2 If you are at the top of the waitlist for a Class, we will notify you if a booking for that Class becomes available, for you to confirm if you wish to book. If you do not confirm within the time requested, you will forfeit your place on the waitlist.

6.3 Members who confirm will receive further notification confirming their booking into the Class, subject to you paying or having already pre-paid the relevant Fees. If no notification is received, you should contact PLATFRM to confirm that their place has been validly redeemed.

7. General Terms and Conditions of Entry

7.1 You must comply with the Code of Conduct at all times while at a PLATFRM Location. 

7.2 You acknowledge and agree that PLATFRM is monitored by Closed Circuit Television (CCTV) at all times for security purposes and that PLATFRM may from time to time take photographs, audio, or videos for promotional and marketing purposes and you consent to PLATFRM recording you through audio and visual means at a PLATFRM Location and using images, videos, or audio of you for such purposes. 

7.3 You must inform and disclose to PLATFRM Staff prior to the start of every Class of any injuries or illnesses you may have, or if you are otherwise not medically sound or fit to perform the activities at the Class or use PLATFRM’s equipment or facilities.

7.4 You must report any injuries or accidents incurred during the course of a class to PLATFRM Staff immediately. 

7.5 If you have not booked into a Class, in order to avoid disappointment, please call to check that the Classes are taking place, particularly in the early morning and late evening. 

7.6 Out of consideration for the PLATFRM Trainer, other Members, and also for your own safety, the warm-up at the start of each Class is an important aspect of each Class. Please be aware that if you are more than 5 minutes late for a Class or cannot undertake the warm-up, the PLATFRM Trainer may not let you participate in the Class at their discretion and your credit for that Class will not be redeemed. 

7.7 PLATFRM (including PLATFRM Trainers) reserve the right to restrict Members to a particular Class type, or restrict certain activities or use of certain equipment or facilities, for health and safety reasons at our discretion. PLATFRM (including PLATFRM Trainers) reserve the right to not let you participate in the Class at our discretion if we are of the opinion that you are otherwise not medically sound or fit to perform the activities at the Class or use PLATFRM’s equipment or facilities. 

7.8 Classes booked by a Member are not transferable to another individual or Member, and cannot under any circumstances be used by another person other than the Member who made the booking. If someone other than the person booked into the Class arrives to use the class, they will be turned away from the Class – or asked to purchase their own Membership. 

7.9 Should you witness or become the victim, of theft or any other person acting in an inappropriate or unlawful manner, you must report it to PLATFRM Staff. 

7.10 You must look after your personal possessions (keys and wallets for example) whilst you are at a PLATFRM Location. Do not bring valuables into a PLATFRM Location. Any personal belongings that you choose to bring into PLATFRM should be kept on you at all times or secured in the lockers provided (subject to availability).

7.11 Membership does not cover the cost of permanent lockers, and you may be charged a fee for use of permanent lockers (subject to availability). Lockers must be used on a class-by-class basis only. If a key is lost, the Member responsible may be liable to pay a fee to PLATFRM to cover the cost of a new lock and key. 

7.12 PLATFRM reserves the right to remove the contents from any locker used overnight which has not been paid for.

7.13 Damage to, or the loss of locker keys, cards and tokens, will incur a reasonable charge to repair the damage or replace the item.

7.14 Bags are not permitted on the floors of a PLATFRM Location for safety reasons.

7.15 Any lost property found must be immediately handed to the PLATFRM Location’s reception. Lost property items will be held for a reasonable period only before being given to charity.

7.16 Members will only be able to access a PLATFRM Location during the time of Class hours, provided they have made a booking. 

7.17 PLATFRM does not guarantee parking for its Members’ motor-vehicles but encourages Members to utilise public parking options available within proximity of its Location(s). 

7.18 PLATFRM has the right to remove you from the Class or PLATFRM Location if, in our opinion, you breach any of the above requirements, or otherwise do not comply with these Terms and Conditions.

8. Code of Conduct

You agree that you must:

8.1 use all equipment with care and as instructed by PLATFRM Staff;

8.2 respect and follow directions given by PLATFRM Staff at any time at all times;

8.3 read and comply with all signs and instructions displayed throughout the PLATFRM Location;

8.4 act in a safe, hygienic, appropriate, lawful manner at all times;

8.5 not cause any loss or damage to any property of PLATFRM or any other person;

8.6 not disrupt or harm other Members or Classes in any way; 

8.7 be respectful and courteous to all other people within a PLATFRM Location;

8.8 not mislead or provide false information to PLATFRM; 

8.9 not use camera and audio recording devices at a PLATFRM Location without the express permission from PLATFRM; 

8.10 immediately provide confirmation of your booking, if requested by a trainer/owner; and 

8.11 not consume alcohol or smoke cigarettes/vapes at a PLATFRM Location.

9. Age Policy

Minors between the ages of 16 – 18 years may be eligible to become a Member provided that:

9.1 the minor’s Membership is permitted with the written consent and signature of the minor’s parent or legal guardian; 

9.2 the minor must comply with all safety requirements of PLATFRM, including as directed by a PLATFRM Staff member from time to time; and

9.3 the minor’s Membership may be cancelled for any inappropriate behaviour, misuse of equipment, or failure to comply with any directions from PLATFRM.

10. Direct Debit

10.1 As a condition to your Periodic Membership, you agree to pay your relevant Fees via Direct Debit and you will need to complete and sign a Direct Debit Agreement with the Direct Debit Agent.

10.2 Without limiting the Direct Debit Agreement, if you are a Periodic Member, you acknowledge and agree that the Direct Debit Agent will Direct Debit your nominated bank account or credit card for any instalments or Fees due under these Terms and Conditions. 

10.3 You agree to comply with the Direct Debit Agreement. If you fail to comply with the Direct Debit Agreement, without limiting the Direct Debit Agreement:

(a) PLATFRM or the Direct Debit Agent will attempt to contact you about retrying any relevant payment of Fees via Direct Debit that failed.  The Direct Debit Agent may charge additional Fees for any failed payment. 

(b) If you fail to pay us the Fees by the due date, we are entitled to refuse you entry to PLATFRM and to cancel your Membership. 

10.4 The following terms will apply if the Direct Debit Agent is EzyPay:

(a) If you have not paid the Fees on a Payment Date, you will be suspended from booking your Membership’s Classes via your Account until such time.

(b) If a Payment has failed, an attempt to process payment of the Fees will be made again 2 days after the payment failure and you will be charged the Dishonour Fee for each failed payment.

10.5 If nominating a Visa / Mastercard credit card for instalments of Fees due under these Terms and Conditions, you will be charged a Transaction Fee of 2.42% of the payment by the Direct Debit Agent. If nominating an Amex credit card for instalments of Fees due under these Terms and Conditions, you will be charged a Transaction Fee of 4.39% of the payment by the Direct Debit Agent. Nominating a bank account will not attract a Transaction Fee.

11. Cancellation Of Classes Booked

11.1 If you wish to cancel a Class that you have booked, you must cancel via your profile on the PLATFRM branded app, website or booking system as soon as possible.

11.2 For those on unlimited Memberships with direct debit or with an Unlimited Class Pack: If you are a Periodic Member with an ‘unlimited’ membership or have a Class Pack with an unlimited number of Classes you will be entitled to an initial allocation of 60 class credits per month. If you cancel a Class less than 9 hours before the start of Class, the class credit will be lost. If you exceed 3 late cancels in the month and have exhausted your 60 classes per month allocation you will not be entitled to a class top-up.

11.3 For those on limited Periodic Memberships with weekly direct debit (2 Classes Per Week, 3 Classes Per Week or 4 Classes Per Week) or with a Class Package of a limited number of Classes (1 Class, 10 Pack, 20 Pack, 50 Pack): If you are a Periodic Member with a limited Class subscription or have a Class Pack with a limited number of Classes, and if you cancel a Class less than 9 hours before the start of the Class, the Class credit will be lost.

11.4 Should a Periodic Member with an ‘unlimited’ membership or a Class Pack with an unlimited number of classes be absent from the Class for which they have booked, clause 11.2 will apply. Should a Member with a limited Periodic Membership with weekly direct, or with a Class Package of a limited number of classes be absent from the class for which they have book, clause 11.3 will apply. 

11.5 We understand that unforeseen circumstances arise from time to time, and we encourage you to contact the PLATFRM team ahead of time, or after the fact, to request a refund or credit to be added back to your account. Refunds and credits will be added at the sole discretion of the PLATFRM team.

12. Termination Of Membership

12.1 A Member may cancel their Membership Subscription by providing PLATFRM two weeks notice of such request in writing. We may, at our discretion, refund any Fees but we are not obliged to do so. 

12.2. PLATFRM may terminate your Membership in any of the following circumstances: 

(c) you fail to comply with any of these Terms and Conditions;

(d) if your Direct Debit Account is in arrears and you fail to resolve the debt after being provided reasonable notice;

(e) if we reasonably believe that you have acted in an unsafe manner, or engaged in conduct that infringes on the health, safety or wellbeing of any other Members or PLATFRM Staff;

(f) the temporary or permanent closure of a PLATFRM Location where a suitable replacement location is not available for the Membership Subscription to transfer; or 

(g) to protect the health and safety and wellbeing of you or other Members. As a condition to your Periodic Membership, you agree to pay your relevant Fees via Direct Debit and you will need to complete and sign a Direct Debit Agreement with the Direct Debit Agent.

13. Suspension

13.1 PLATFRM may suspend your Membership with immediate effect if you fail to comply with these Terms and Conditions. We will notify you in writing when your Membership will recommence. 

13.2 A Periodic Member may suspend their Periodic Membership following the initial 8-week commitment period by notice in writing to PLATFRM. You must notify us in writing at least 10 working days prior to the recommencement of your Membership. Any suspension that extends beyond 1 consecutive month in duration will be subject to cancellation.

13.3 The validity period of Class Packs cannot be suspended. 

14. Liability And Risk

14.1 You warrant and represent to us that you are medically sound and fit to undertake a physically demanding course of exercise conducted during Classes and to use the equipment and facilities at the PLATFRM Location.

14.2 You acknowledge and agree that you attend Classes and use PLATFRM equipment and facilities at your sole risk and responsibility, and that you are fully aware that the Classes are physically demanding and could pose a risk to your health if you are not medically sound and fit. 

14.3 PLATFRM will take no responsibility for your personal property and you acknowledge and agree that you bring any personal property onto PLATFRM Locations at your sole risk and responsibility. 

14.4. To the extent permitted by law, notwithstanding any other clause, you unconditionally and irrevocably release PLATFRM from any liability to you and all and any claims which you have, or which may arise at any future time, including in relation to any personal injury, illness, death, or any loss or damage to any of your personal property. 

14.5 To the extent permitted by law, notwithstanding any other clause, all implied warranties, guarantees, and terms in connection with these Terms and Conditions are excluded. To the extent permitted by law, the liability of PLATFRM for a breach of any implied warranty, guarantee, or term which by law cannot be excluded (including the statutory guarantees under the Australian Consumer Law), is limited at PLATFRM’s option, to: 

(a) in the case of goods, repair or resupply of equivalent goods or refund any amount paid by the Member to PLATFRM in relation to those goods; or

(b) in the case of services, re-performing the relevant services, or refund any amount paid by the Member to PLATFRM in relation to those services. 

14.6. To the extent permitted by law, notwithstanding any other clause, PLATFRM excludes any liability to a Member (whether under contract, tort, statute, equity, or under any indemnity) for any indirect, special or consequential loss or damage, including any loss of opportunity, loss of profit or revenue, loss under any third party arrangements, or other losses that cannot reasonably be considered to arise naturally from the relevant breach, event, fact, matter or circumstance.

14.7. To the extent permitted by law, notwithstanding any other clause, PLATFRM’s aggregate maximum liability to the Member arising out or in relation to these Terms and Conditions (whether under contract, tort, statute, equity, or under any indemnity) is limited to the Fees paid by the Member in the previous 6 months. 

15. General Provisions

15.1 These Terms and Conditions, and the Direct Debit Agreement (if applicable) constitute the entire agreement, understanding and arrangement (express and implied) between the Member and PLATFRM relating to the subject matter of these Terms and Conditions and supersedes and cancels any previous agreement, understanding and arrangement relating thereto whether written or oral.

15.2 If any provision of these Terms and Conditions is prohibited, invalid or unenforceable, that provision will be ineffective to the extent of the prohibition, invalidity or unenforceability without
invalidating the remaining provisions of these Terms and Conditions or affecting the validity or enforceability of that provision, unless it materially alters the nature or material terms of these Terms and Conditions. 

15.3 A notice or other communication to or by a party under these Terms and Conditions must be in
writing, and must be delivered in person, by email or by post to an address of the recipient specified in these Terms and Conditions or any new address of the recipient known to the sender.

15.4 You may only use confidential or sensitive information disclosed by PLATFRM for the purposes expressly specified by PLATFRM, and must keep any such confidential information confidential except where the information is public knowledge (but not because of a breach of these Terms and Conditions, disclosure is required by law or a regulatory body.

15.5 The laws of South Australia govern these Terms and Conditions. Each party submits to the non- exclusive jurisdiction of the courts exercising jurisdiction in South Australia and waives any right to claim that those courts are an inconvenient forum. 

15.6 An obligation on PLATFRM under these Terms and Conditions will be suspended during the time and to the extent that the party is prevented from or delayed in complying with that obligation by an event of Force Majeure. For the purposes of this clause, ‘Force Majeure’ means events or circumstances to the extent that such events are beyond the reasonable control of PLATFRM, including any: pandemics or epidemics, act of God, pandemic or epidemic, fire, lightning, flood, explosion, or subsidence or other natural disaster, insurrection or civil disorder or military operations, Government restraint, expropriation, prohibition, intervention, direction or embargo, strikes, lock-outs or other industrial disputes of any kind, or failures tor delays by suppliers or subcontractors.

15.7 A Member is not capable of assigning, any right under these Terms and Conditions without the prior written consent of PLATFRM. 

15.8 Nothing in this agreement is to be construed as creating an employment, agency, partnership, fiduciary or joint venture relationships between PLATFRM and any Member.

Definitions

In these Terms and Conditions, unless the context requires otherwise: 

Class means a class or other training session conducted by PLATFRM.

Class Pack means a pack of Classes, as outlined in clause 4.1.  

Class Pack Member means a person who has purchased and pre-paid for a Class Pack.

Class Pack Top Up means the Class Pack type as outlined in clause 4.1, subject to clause 4.

Code of Conduct means the code of conduct as outlined in clause 11. 

Commitment Period means the minimum of 8 weeks until cancelled as outlined in clause 3.1.

Direct Debit means a direct debit to a Member’s nominated bank account or credit card for payment of Fees by a Member.

Direct Debit Agreement means an agreement between the Member and the Direct Debit Agent in relation to the Direct Debit payments by the Member.  

Direct Debit Agent means a third party nominated by PLATFRM for the purposes of the Direct Debit payments by the Member.  

Dishonour Fee means $3.85 plus GST if the Payment Provider is Ezypay.

Fees means the relevant fees payable by a Member, as outlined in the tables in clause 3.1 or 4.1 (as applicable) (subject to any amendment by PLATFRM or special offer by PLATFRM made available by PLATFRM, from time to time, including on the PLATFRM App or PLATFRM Website). 

Introductory Offer means the Class Pack type as outlined in clause 4.

Opening Special means the Class Pack type as outlined in clause 4.

Member, or you means any person who is a Periodic Member or a Class Pack Member. 

Periodic Member means a person who has purchased a current Periodic Subscription, as outlined in clause 3. 

Periodic Subscription means a periodic subscription of Classes, as outlined in clause 3.1.

PLATFRM, we, or us, means Platfrm Holdings Pty Ltd (ACN 651 847 022) trading as PLATFRM. 

PLATFRM App means PLATFRM’s online application made available by PLATFRM from time to time. 

PLATFRM Location means any premises where PLATFRM operates its business from, including conducting any Class. 

PLATFRM Staff means a person who is employed or engaged by PLATFRM, including any PLATFRM Trainer. 

PLATFRM Trainer means a person who is employed or engaged by PLATFRM as a trainer, including for instructing Classes. 

Terms and Conditions means these terms and conditions.

PLATFRM Website means PLATFRM’s website made available by PLATFRM from time to time. 

Interpretation

In these Terms and Conditions, unless the context requires otherwise:

  • the singular includes its plural and vice versa;

  • words denoting any gender include all genders;

  • a reference to a person includes a corporation, trust, partnership, unincorporated body or other entity, whether or not it comprises a separate legal entity;

  • a reference to a party to these Terms and Conditions or another document includes that party’s successors, permitted substitutes or permitted assigns;

  • a reference to a particular time is to that time in South Australia, Australia;

  • where a word or phrase is defined, its other grammatical forms have a corresponding meaning;

  • headings are for convenience only and do not affect interpretation;

  • a reference to any agreement (including these Terms and Conditions) or document is to the agreement or document as amended, supplemented, novated or replaced from time to time;

  • a reference to a clause, paragraph, schedule or annexure is to a clause, paragraph, schedule or annexure in or to these Terms and Conditions;

  • a reference to these Terms and Conditions includes any schedules and annexures to this agreement;

  • a reference to writing includes any method of representing or reproducing words, figures, drawings or symbols in a visible or tangible form;

  • words such as including or for example do not limit the meaning of the words preceding them;

  • a reference to dollars or $ is to Australian currency;

  • an obligation or liability assumed by, or a right conferred on, two or more parties binds or benefits all of them jointly and each of them severally;

  • a reference to legislation (including subordinate legislation) or a provision of it is to that legislation or provision as amended, re-enacted or replaced, and includes any subordinate legislation issued under it; and

  • nothing in these Terms and Conditions is to be interpreted against a party solely on the ground that the party or its advisers drafted it.

Referral Offer

This offer is for Referrers to receive a $30 credit when they introduce a New Client and for the New Client to receive a $30 credit.

To claim the Referral offer:

  • Referrers must:

    • Log in to their PLATFRM App;

    • Select “Refer Friend” and follow the steps to share; and

  • New Clients must:

    • Click the link from the Referrer;

    • Download the PLATFRM app for the very first time

    • Create an Account at the studio referred to;

    • Make a purchase at the Studio referred to through the PLATFRM App; and

    • Sign any required waivers and documentation provided through the App at the studio you were referred to.

  • The New Client $30 credit will be automatically applied to the New Clients account once the New Client has created an Account at the studio via the Referral link. To use the account credit, the client will need to apply account credit at the checkout.

  • The Referrer $30 credit will be automatically applied to the Referrer’s Account once the New Client makes their purchase.

  • The New Client must download the app, sign up and make a purchase for the same studio in which the Referrer is a client via the link from the Referrer.
